1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Maksim Gusev (Einzelunternehmer), operating as AriseNote ("we", "us", or "our"), concerning your access to and use of the AriseNote service ("Service").

By accessing or using AriseNote, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

AriseNote is a Notion interactive widgets library that allows you to create and display dynamic widgets based on data from your Notion databases. The Service connects to your Notion account (with your explicit permission) to read selected database contents and display them through customizable widgets.

3. Eligibility

You must be at least 16 years old to use AriseNote. By using the Service, you represent and warrant that you meet this age requirement. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

4. Account Registration and Security

4.1 Account Creation

To use AriseNote, you must create an account by providing accurate and complete information. You may register using:

• Email and password authentication
• Google OAuth authentication
• Notion account integration (required for widget functionality)

4.2 Account Security

You are responsible for:

• Using a strong, unique password
• Enabling two-factor authentication if available
• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Not sharing login credentials
• Logging out from shared devices
• Notifying us immediately (within 24 hours) of any suspected unauthorized use of your account

You may not:

• Share your account credentials with others
• Use another person's account without permission
• Create multiple accounts for the purpose of obtaining multiple free trials, circumventing Service limitations, or avoiding payment obligations

4.3 Multiple Notion Workspace Connections

You may connect AriseNote to multiple Notion workspaces (for example, personal and work workspaces). However:

• Each Notion workspace may only be connected to one AriseNote account that has an active free trial or paid subscription
• You may not create multiple AriseNote accounts to obtain multiple free trials for the same Notion workspace
• For teams or organizations: Multiple team members from the same company may each create their own AriseNote accounts, but a single account can be used collaboratively by multiple users within an organization

4.4 Account Suspension and Termination

We reserve the right to suspend or terminate your account if:

• You violate these Terms
• You engage in malicious activities or attempt to exploit our infrastructure
• You use the Service for illegal purposes
• Payment for your subscription is not received (see Section 6.3)

You may terminate your account at any time through your account settings.

5. Free Trial and Subscription Plans

5.1 Free Trial

AriseNote offers a 7-day free trial for new users. The free trial provides access to the Service features. You may only use one free trial per user and per Notion workspace. Attempting to create multiple accounts to obtain additional free trials is prohibited and may result in account termination.

5.2 Subscription Plans

After the free trial period, continued use of AriseNote requires a paid subscription. We currently offer the following plan:

Starter Plan:

• Maximum 20 widgets per account
• Maximum 2 database connections per widget
• Available with monthly or annual billing

Plan features, pricing, and limitations are subject to change with 30 days' notice.

5.3 Plan Limitations

Starter Plan Limitations:

• 20 widgets maximum per account
• 2 database connections maximum per widget

Exceeding these limitations may require future plan upgrades. We reserve the right to enforce these limitations and may suspend functionality that exceeds plan limits.

6. Payment and Billing

6.1 Payment Processing

All payments are processed through Stripe, a third-party payment processor. By providing payment information, you authorize us to charge the applicable subscription fees to your payment method. You represent and warrant that you have the legal right to use the payment method provided.

6.2 Billing Cycles

Subscriptions are billed in advance on a recurring basis according to your selected billing cycle (monthly or annual). Your subscription will automatically renew unless you cancel before the renewal date.

6.3 Grace Period and Non-Payment

After your free trial ends or upon subscription renewal, you have a 7-day grace period to complete payment. During this grace period, you will retain access to the Service. If payment is not received within 7 days after the payment due date, your account will be suspended until payment is received. Suspended accounts retain all data but cannot create or modify widgets.

6.4 Price Changes

We may change subscription prices with 30 days' advance notice. Price changes will apply to subsequent billing cycles after the notice period. If you do not agree to a price change, you may cancel your subscription before the new price takes effect.

6.5 Refund Policy

In accordance with EU consumer protection laws, you may request a refund within 14 days of payment under the following conditions:

• The refund request is made within 14 days of the payment date
• Upon refund, your account will be closed and you will not be able to create a new account to obtain another free trial
• You are prohibited from creating a new account with the same email address or connecting the same Notion workspace(s) to a new account for the purpose of obtaining another free trial

To request a refund, contact us at help@arisenote.com with your account details and payment information.

Refunds are processed to the original payment method within 14 business days of approval. The 7-day free trial and 7-day grace period do not extend the 14-day refund period.

6.6 Taxes

All fees are exclusive of applicable taxes, levies, or duties. You are responsible for paying all such taxes, levies, or duties, excluding only taxes based on our net income.

7. Notion Integration

7.1 Granting Access

To use AriseNote, you must connect your Notion account and explicitly grant AriseNote access to specific Notion pages and databases. You control which pages and databases AriseNote can access through Notion's permission system.

7.2 Data Access

AriseNote will only access:

• User information from your Notion account (name, email, avatar, user ID)
• The list of databases you have granted access to
• The contents of databases you have selected for widget display

We read database contents in real-time to display widgets. We temporarily cache this data for performance purposes (for less than 24 hours) but do not permanently store your Notion database contents in our systems.

7.3 Your Responsibilities

You are responsible for:

• Ensuring you have the right to grant AriseNote access to Notion data
• The accuracy and legality of data in your Notion databases
• Revoking AriseNote's access through Notion if you no longer wish to use the Service

7.4 Notion API Changes

AriseNote's functionality depends on the Notion API. If Notion changes, restricts, or discontinues API access, we will make commercially reasonable efforts to adapt the Service, but we do not guarantee uninterrupted functionality. We are not liable for Service disruptions caused by changes to third-party APIs beyond our control.

8. User Content and Intellectual Property

8.1 Your Content

You retain all ownership rights to the content in your Notion databases ("Your Content"). By using AriseNote, you grant us a limited, non-exclusive, royalty-free license to access and display Your Content solely for the purpose of providing the Service to you.

We do not claim any ownership rights to Your Content and will not use Your Content for any purpose other than providing the Service. We do not use your data to train AI models or for any analytics beyond anonymized usage statistics.

8.2 Uploaded Content

If you upload content to AriseNote (such as profile avatars), you grant us a license to store, display, and use such content as necessary to provide the Service. You represent and warrant that you have all necessary rights to upload such content.

8.3 Our Intellectual Property

AriseNote, including all software, code, designs, graphics, logos, and documentation, is owned by Maksim Gusev and is protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, distribute, sell, or lease any part of the Service
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Use the AriseNote name, logo, or branding without our prior written permission
• Remove or alter any copyright, trademark, or proprietary notices

8.4 User Feedback

If you provide us with feedback, suggestions, or ideas about AriseNote ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service without compensation or attribution to you.

9. Prohibited Uses

You agree not to use AriseNote for any of the following purposes:

9.1 Illegal Activities

You may not use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Upload, store, or transmit illegal content, including content that infringes intellectual property rights
• Engage in fraudulent activities or misrepresent your identity or affiliation

9.2 Harmful Activities

You may not:

• Upload malicious code, viruses, or any harmful software
• Attempt to gain unauthorized access to our systems, servers, or networks
• Interfere with or disrupt the integrity or performance of the Service
• Exploit vulnerabilities in our infrastructure for any purpose
• Use the Service to harm, threaten, or harass others

9.3 Misuse of Service

You may not:

• Scrape, data mine, or extract data from the Service using automated means (except through official API when available)
• Use the Service in a manner that exceeds reasonable usage limits or overburdens our infrastructure
• Circumvent any technical limitations, access controls, or usage restrictions
• Create accounts using false information or automated means
• Resell, redistribute, or provide access to the Service to third parties without authorization
• Use the Service to train AI or machine learning models
• Access the Service through automated means such as bots, spiders, or scrapers (except through official API when available)
• Systematically download content from the Service

9.4 Offensive Content

You may not upload or transmit content that is:

• Illegal, harmful, threatening, abusive, defamatory, or obscene
• Hateful, discriminatory, or harassing based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics
• Pornographic or sexually explicit (except where legally permitted and relevant to legitimate use)

Violation of these prohibited uses may result in immediate account suspension or termination without refund.

10. Service Availability and Modifications

10.1 Service Availability

We strive to maintain the Service's availability and target the following:

• 99.5% uptime per month (excluding scheduled maintenance)
• Scheduled maintenance windows announced at least 24 hours in advance
• Maximum 4 hours of scheduled maintenance per month

This uptime target is a goal, not a guarantee. The Service is provided on an "as-is" and "as-available" basis. We may experience downtime due to:

• Scheduled maintenance (we will provide at least 24 hours advance notice)
• Technical issues or server problems
• Third-party service disruptions (including Notion API changes)
• Force majeure events beyond our control

10.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to notify active subscribers of material changes to core functionality.

10.3 No Liability for Downtime

We are not liable for any loss, damage, or inconvenience caused by Service unavailability, interruptions, or modifications. If persistent technical issues prevent Service usage, you may cancel your subscription and request a pro-rata refund for the unused portion of your billing cycle.

10.4 Beta Features

We may offer beta or experimental features that are:

• Clearly marked as "Beta," "Experimental," or "Preview"
• Provided "as-is" without warranties
• Subject to modification or discontinuation without notice
• Valuable for gathering user feedback to improve the Service

11. Third-Party Services

11.1 Integration Dependencies

AriseNote integrates with and depends on third-party services, including:

• Notion (for database access and authentication)
• Stripe (for payment processing)
• Google (for OAuth authentication, if used)

Your use of these third-party services through AriseNote may be subject to those services' respective terms and privacy policies. We are not responsible for the actions, content, or policies of these third-party services.

11.2 Third-Party Content

AriseNote displays content from your Notion databases. We are not responsible for the accuracy, legality, or appropriateness of content originating from Notion or other third-party sources.

12. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using AriseNote, you also agree to our Privacy Policy.

Key privacy points:

• We comply with GDPR, UK GDPR, and CCPA requirements
• We do not sell your personal information
• We do not use your data to train AI models
• Your Notion database content is read in real-time but not permanently stored in our systems (temporary caching for less than 24 hours for performance)
• Your account data is retained for 30 days after account deletion, then permanently deleted
• You have rights to access, correct, and delete your personal data

13. Data Residency

13.1 Server Locations

AriseNote operates servers in two regions:

• European Union: Hetzner servers in Germany for EU users
• United States: Hetzner servers in the US for US users

We use Amazon Route 53 geo-routing to automatically direct you to the nearest server region based on your geographic location for optimal performance.

13.2 Data Storage Location

Your data (including account information, widget configurations, and cached Notion data) is stored in the server region that serves your location:

• EU users: Data stored in Germany (EU)
• US users: Data stored in United States

13.3 Cross-Border Data Transfers

Some of our service providers (such as Stripe, AWS S3, and Mailgun) may process or store data in different regions. We ensure adequate protection for cross-border data transfers through Standard Contractual Clauses and other lawful mechanisms. See our Privacy Policy and Data Processing Agreement for details.

14. Disclaimers and Warranties

14.1 Service Disclaimer

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Service will be uninterrupted, secure, or error-free
• Warranties regarding the accuracy, reliability, or completeness of content or data
• Warranties that defects will be corrected

14.2 No Professional Advice

AriseNote is a software tool and does not provide professional, legal, financial, or other advice. Any information provided through the Service is for general informational purposes only and should not be relied upon as professional advice.

14.3 Third-Party Services Disclaimer

We do not warrant or guarantee the availability, accuracy, or reliability of third-party services (including Notion) that AriseNote integrates with. We are not responsible for changes, interruptions, or discontinuation of third-party services.

15. Limitation of Liability

15.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US FOR THE SERVICE DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

15.2 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or business opportunities
• Loss of use or interruption of business
• Cost of substitute services
• Reputational harm

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

15.3 Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

16. Indemnification

You agree to indemnify, defend, and hold harmless Maksim Gusev, AriseNote, and our officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any laws, regulations, or third-party rights
• Your Content or any content you upload or transmit through the Service
• Your Notion data or your grant of access to Notion databases

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate with us in asserting any available defenses.

17. Changes to Terms

17.1 Right to Modify

We reserve the right to modify these Terms at any time. When we make material changes to these Terms, we will:

• Update the "Last Updated" date at the top of this document
• Notify you via email at the address associated with your account
• Display a prominent notice on the Service
• Provide at least 30 days' notice before the changes take effect

17.2 Acceptance of Changes

Your continued use of the Service after the effective date of modified Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Service and may cancel your subscription.

17.3 Material Changes

For material changes that significantly affect your rights or obligations, we may require your explicit acceptance before you can continue using the Service.

18. Assignment and Transfer

18.1 Our Right to Assign

We may assign, transfer, or delegate our rights and obligations under these Terms to another entity, including in connection with a merger, acquisition, sale of assets, or by operation of law. In such cases, we will notify you at least 30 days in advance and provide information about the new entity assuming our obligations.

18.2 Your Rights

You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. Any attempted assignment without consent is void.

19. Governing Law and Dispute Resolution

19.1 Governing Law

These Terms and any disputes arising out of or related to the Service shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions.

19.2 Jurisdiction

Any legal action or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the courts located in Ingolstadt, Bayern, Germany. You irrevocably consent to the jurisdiction and venue of such courts.

19.3 EU Consumer Rights

If you are a consumer located in the European Union, nothing in this section affects your mandatory consumer rights under EU law, including your right to bring proceedings in your country of residence.

19.4 Informal Resolution

Before initiating formal legal proceedings, we encourage you to contact us at help@arisenote.com to seek an informal resolution of any dispute.

20. General Provisions

20.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements or understandings.

20.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

20.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative.

20.4 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, pandemics, labor disputes, government actions, or failures of third-party services.

20.5 Survival

Provisions that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, limitations of liability, and dispute resolution provisions.

20.6 Headings

Section headings are for convenience only and do not affect the interpretation of these Terms.

20.7 Language

These Terms are drafted in English. If translated into other languages, the English version shall prevail in case of any inconsistency or dispute regarding interpretation.

20.8 Electronic Communications

By using the Service, you consent to receive electronic communications from us, including emails about your account, Service updates, and promotional messages (which you may opt out of). Electronic communications satisfy any legal requirement that such communications be in writing.
